1. Scope

(1) These General Terms and Conditions (GTC) apply to all contracts concluded via our online shop between

and you as our customer.

(2) Our offer is primarily directed at business customers (B2B).
A business customer is any natural or legal person acting in the exercise of their commercial or independent professional activity within the meaning of §14 BGB.

(3) For consumers within the meaning of §13 BGB, the statutory withdrawal right applies as described in Section 4.
Business customers do not have a statutory right of withdrawal.

(4) By placing an order, you accept these GTC.

 

2. Subject of the Contract

(1) The Water Marketing Academy is offered in different versions as described on the respective sales page.

(2) The BASIC version includes access to the digital learning program for a period of 185 days from activation.

(3) The PREMIUM version includes access to the digital learning program for 185 days from activation and three personal Q&A sessions of 30 minutes each.

(4) Customers may optionally purchase a Lifetime Upgrade.
The Lifetime Upgrade grants unlimited access to the Academy content for as long as the Academy is offered by Interius Solutions GmbH.

(5) The Lifetime Upgrade does not create a separate contractual relationship but extends the access rights under these GTC.

(6) The specific scope of services results from the selected version at the time of purchase.

(7) Unless otherwise agreed in writing, each purchase grants access for one named user account only.

(8) Q&A sessions must be scheduled within the active access period.
Unused sessions expire automatically at the end of the access period.

(9) The Academy provides educational content for informational purposes only.
No guarantee is given regarding specific business, marketing, or financial results.
The content does not constitute legal, tax, or financial advice.

 

3. Conclusion of Contract

(1) The presentation of products in the online shop does not constitute a legally binding offer.

(2) By clicking “Buy now”, you submit a binding order.

(3) The contract becomes effective once we confirm your order by email or activate your access.

 

4. Right of Withdrawal (Consumers Only)

(1) Consumers have a statutory 14-day right of withdrawal.

(2) For digital content not supplied on a tangible medium, the right of withdrawal expires only under the statutory requirements. This includes in particular the consumer’s express consent to immediate performance before the withdrawal period expires and the consumer being informed that the right of withdrawal is lost upon commencement of performance.

(3) If these requirements are not met, the right of withdrawal remains in place.

(4) The statutory withdrawal instructions are provided at the end of these GTC.

 

5. Access and Account Responsibility

(1) To use the Academy, you must create an account with accurate and complete information.

(2) You are responsible for keeping your login credentials confidential.

(3) Sharing access credentials or granting access to third parties is prohibited.

(4) Access is granted to one named user account per purchase and is personal and non-transferable. Business customers may use the Academy only through the designated individual user. Sharing access credentials or making the content available to other persons, including colleagues, is prohibited unless otherwise agreed in writing.

(5) We may suspend or terminate access if the customer violates these GTC, in particular in case of credential sharing or unauthorized distribution of content. Further legal rights remain unaffected.

 

6. Prices and Payment Processing

(1) All prices include VAT where applicable.
For customers outside Germany or for EU businesses with a valid VAT ID, VAT may be reversed under the reverse-charge mechanism.

(2) VAT is calculated automatically based on your billing country.

(3) Payment is processed via external payment providers.

(4) You will receive an invoice via email after your purchase.

 

7. Payment Terms, Offsetting, and Retention Rights

(1) The purchase price is due immediately upon conclusion of the contract.

(2) Offsetting is permitted only if counterclaims are legally established or undisputed.

(3) A right of retention may be exercised only if your claim arises from the same contractual relationship.

 

8. Personal Q&A Sessions (Premium Version Only)

(1) Personal Q&A sessions are available exclusively to customers who have purchased the PREMIUM version.

(2) Each session has a duration of 30 minutes.

(3) Sessions must be booked in advance via the provided scheduling system and are conducted via Zoom.

(4) If a participant fails to attend a scheduled session without cancellation at least 24 hours in advance, the session shall be considered used.

(5) There is no entitlement to additional sessions beyond the three included in the PREMIUM version.

(6) Q&A sessions are individual consulting sessions but do not constitute legal, tax, or financial advice.

(7) Sessions must take place within the active access period.

(8) If we need to reschedule a session for good cause, we will offer an alternative date within the access period.

 

9. Technical Availability

We strive to ensure continuous availability of the Academy.
Temporary restrictions due to maintenance, technical updates, or circumstances beyond our control do not constitute a defect.

 

10. Content Adjustments

We reserve the right to update, modify, replace, or further develop the content, structure, and materials of the Academy at any time, provided that the overall character and value of the program are not significantly reduced.

 

11. Copyright

All Academy content including videos, texts, graphics, PDFs, templates and materials is protected by copyright.

Any reproduction, distribution, public display, recording, translation, or commercial use without prior written consent is prohibited.

 

12. Liability

(1) We are liable without limitation for intent and gross negligence.

(2) In cases of simple negligence, liability is limited to the breach of essential contractual obligations and to foreseeable, typical damages.

(3) Liability for damages resulting from injury to life, body or health remains unaffected.

  

13. Applicable Law and Jurisdiction

(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.

(2) If the customer is a merchant, a legal entity under public law, or has no general place of jurisdiction in Germany, Schweinfurt shall be the exclusive place of jurisdiction.

(3) For consumers, statutory jurisdiction rules apply.

 

14. Data Protection

We process personal data in accordance with applicable data protection laws.
Further details are provided in our Privacy Policy.

 

 

Withdrawal Instructions (for Consumers Only)

 

Right of Withdrawal
You have the right to withdraw from this contract within 14 days without giving any reason.
The withdrawal period begins on the day the contract is concluded.

Consequences of Withdrawal
If you withdraw from this contract, we will refund all payments received from you within 14 days.

Expiry of Withdrawal Right
For digital content, the statutory right of withdrawal expires only under the statutory requirements. If these requirements are not met, the right of withdrawal remains in place.
